1. Acceptance of Terms

By accessing or using the Distrx.io website, platform, or services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Services.

2. Description of Services

Distrx.io provides a cloud-based ERP and B2B eCommerce platform including, but not limited to, inventory management, sales, purchasing, accounting, CRM, reporting, integrations, and related tools.

3. Eligibility

You must be at least 18 years old and authorized to bind a business entity to use the Services. You represent that all information provided is accurate and current.

4. Accounts and Access

You are responsible for maintaining the confidentiality of login credentials and for all activity under your account. Distrx is not liable for unauthorized access caused by your failure to secure your account.

5. Customer Data

You retain full ownership of all business data entered into the platform. Distrx processes this data solely to provide the Services and does not claim ownership of customer content.

6. Acceptable Use

You agree not to misuse the Services. Prohibited activities include, but are not limited to:

• Violating laws or regulations
• Attempting unauthorized access
• Interfering with platform security or performance
• Uploading malicious code
• Using the Services for fraudulent purposes

7. Subscriptions and Billing

Certain features require a paid subscription. Pricing, billing cycles, and payment terms are provided at the time of purchase. Fees are non-refundable unless required by law or explicitly stated otherwise.

8. Third-Party Services

Distrx may integrate with third-party services. Distrx is not responsible for third-party content, availability, or practices. Use of third-party services is governed by their respective terms.

9. Intellectual Property

The Distrx platform, software, branding, and documentation are the exclusive property of Distrx.io and are protected by intellectual property laws. You may not copy, modify, or distribute them without permission.

10. Confidentiality

Each party agrees to protect confidential information disclosed during the use of the Services and not disclose it to third parties without authorization.

11. Service Availability

While we aim for high availability, the Services are provided “as is.” Distrx does not guarantee uninterrupted or error-free operation.

12. Termination

Distrx may suspend or terminate access for violation of these Terms, non-payment, or unlawful use. You may terminate your account at any time according to your subscription terms.

13. Limitation of Liability

To the maximum extent permitted by law, Distrx shall not be liable for indirect, incidental, consequential, or loss-of-profit damages arising from the use of the Services.

14. Indemnification

You agree to indemnify and hold harmless Distrx from claims arising out of your use of the Services, violation of these Terms, or infringement of third-party rights.

15. Governing Law

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict-of-law principles.

16. Changes to Terms

Distrx may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the updated Terms.
